The Services are not intended to replace:

OppAction does not provide:

No AI Output, score, recommendation, label, workflow, automation, synchronization result, analytics dashboard, predictive system, benchmark, recommendation engine, confidence indicator, or operational metric should be interpreted as:

OppAction does not guarantee:

profitability;
customer acquisition;
marketplace acceptance;

Marketplace performance and business outcomes are affected by numerous external factors outside OppAction’s control, including:

marketplace algorithms;
competitor activity;
pricing;
advertising spend;
customer behavior;
seasonality;
marketplace policies;
provider restrictions;
operational decisions;
inventory levels;
fulfillment quality;
macroeconomic conditions;
and third-party platform behavior.

Analytics, scores, labels, and predictive systems are informational heuristic estimates only and do not establish causation.

The existence of changes in rankings, traffic, conversions, or revenue following use of the Services does not establish that such outcomes were caused by OppAction or any AI Output.

5. Human Review Required

NO AI OUTPUT OR AUTOMATED ACTION SHOULD BE:

synchronized;
exported;
deployed;
commercially used;
or operationally executed

without prior human review, supervision, validation, and approval by the user.

Human review and approval are mandatory before any:

7. Marketplace & Third-Party Dependency Disclaimer

The Services may depend on or integrate with Third-Party Services, including:

payment processors;
and other third-party providers.

8. User Authorization for Automation, Publishing & Synchronization

All automation actions, publishing actions, synchronization actions, exports, imports, AI-agent actions, delegated workflows, API actions, orchestration workflows, recurring tasks, scheduled operations, marketplace modifications, bulk operations, and related automated or semi-automated activity performed through the Services are deemed authorized by the user when such functionality is:

initiated;
configured;
enabled;
connected;
scheduled;
deployed;
approved;
permitted;
authenticated;
or otherwise made available

through the user’s account, enterprise organization, integrations, APIs, connected systems, delegated users, workflow configurations, automation settings, or operational infrastructure.

OppAction does not independently decide to:

publish listings;
synchronize marketplace data;
modify listings or metadata;
export content;
trigger workflows;
initiate automation actions;
or execute operational activity

except pursuant to user-provided configurations, permissions, authorizations, workflow settings, integrations, API instructions, synchronization settings, or delegated operational controls.

You are solely responsible for:

all workflows you enable;
all automations you authorize;
all synchronization systems you connect;
all APIs you authorize;
all delegated publishing systems;
all AI-agent behavior;
all recurring or scheduled operations;
all enterprise-user activity;
all connected integrations;
and all actions occurring through your operational environment.

You acknowledge and agree that automated and delegated systems may:

malfunction;
behave unpredictably;
create synchronization conflicts;
trigger unintended marketplace actions;
modify listings unexpectedly;
generate inaccurate outputs;
duplicate actions;
create operational disruptions;
trigger marketplace enforcement;
create legal exposure;
create financial exposure;

or otherwise produce unintended results.

You are solely responsible for:

validating workflow behavior;
supervising first-run automations;
monitoring bulk operations;
monitoring recurring workflows;
supervising synchronization systems;

Failure to adequately supervise, validate, monitor, test, or control automations, workflows, AI agents, delegated systems, APIs, synchronization systems, or operational infrastructure is solely at your own risk.

delegated publishing activity;
synchronization actions;
bulk listing modifications;
recurring workflow behavior;

API-driven activity;
connected-system behavior;
or operational actions performed pursuant to user authorization or configuration.

You acknowledge and agree that all final responsibility for operational activity performed through the Services remains solely with you.

9. Prohibited AI Uses

You shall not use the Services, AI Outputs, workflows, automations, synchronization systems, APIs, recommendation systems, predictive systems, AI agents, delegated workflows, or related functionality to create, publish, distribute, facilitate, promote, automate, or support:

fake reviews;
fake testimonials;
fabricated customer experiences;
false endorsements;
deceptive endorsements;
undisclosed sponsored content;
fake scarcity claims;
fake urgency claims;
unsupported product claims;
deceptive pricing claims;
misleading advertising;
false advertising;
counterfeit listings;
trademark infringement;
copyright infringement;
publicity-right violations;
celebrity likeness misuse;
impersonation;
phishing;
scams;
spam;
marketplace manipulation;
ranking manipulation;
unlawful scraping;
unlawful surveillance;
unlawful automation;
unlawful data harvesting;
prohibited comparative advertising;
deceptive ecommerce practices;
or unlawful or fraudulent commercial activity.

You shall not use the Services to generate, support, or distribute:

medical claims;
health claims;
safety claims;
financial claims;
environmental claims;
performance claims;
efficacy claims;
regulatory claims;
or other regulated or legally sensitive claims

without appropriate substantiation, verification, approvals, disclosures, and legal review as required under applicable law, regulations, marketplace policies, advertising standards, or industry requirements.

You are solely responsible for ensuring that all:

advertisements;
listings;
marketing materials;
AI Outputs;
product claims;
descriptions;
endorsements;
synchronization actions;
publishing actions;
automations;
workflows;
and commercial content

are:

truthful;
accurate;
substantiated;
lawful;
non-deceptive;
marketplace-compliant;
and compliant with all applicable laws, regulations, advertising standards, intellectual-property requirements, and marketplace policies.

OppAction does not review, verify, validate, approve, certify, or guarantee:

advertising compliance;
legal compliance;
FTC compliance;
intellectual-property clearance;
substantiation adequacy;
marketplace compliance;
or commercial law compliance.

OppAction reserves the right to:

investigate suspected misuse;
preserve evidence and logs;
disable workflows;
revoke APIs;
suspend accounts;
restrict functionality;
cooperate with marketplaces, regulators, providers, and law enforcement;
and take operational or legal enforcement action

where reasonably necessary to protect:

the Services;
marketplaces;
providers;
users;
operational infrastructure;
or legal and compliance interests.

Any prohibited or unlawful use of the Services is solely your responsibility.

10. Marketplace Policy Supremacy

All third-party marketplace rules, platform policies, API terms, advertising standards, prohibited-product restrictions, operational requirements, enforcement policies, synchronization requirements, developer terms, and platform governance rules imposed by third-party providers and marketplaces shall control over any:

recommendation;
score;
label;
workflow;
automation;
synchronization action;
predictive output;
analytics insight;
operational suggestion;
optimization recommendation;

generated metadata;
or related functionality

provided through the Services.

This includes, without limitation, policies, rules, restrictions, standards, and enforcement decisions imposed by:

Amazon;
Walmart;
Google Shopping;
advertising platforms;
payment providers;
AI providers;
API providers;
marketplaces;
and other third-party systems or operational platforms.

OppAction does not:

guarantee marketplace compliance;
certify listings for approval;
certify advertising compliance;
guarantee synchronization acceptance;
guarantee API acceptance;
guarantee operational compliance;
or guarantee that any output, workflow, automation, synchronization action, recommendation, score, label, or generated content complies with any third-party policy or requirement.

Users are solely responsible for independently reviewing, understanding, interpreting, and complying with all:

marketplace policies;
advertising policies;
API terms;
prohibited-product restrictions;
synchronization requirements;
operational rules;
developer requirements;
platform governance standards;
and third-party provider requirements

or compliance-related consequences arising from use of the Services.

All marketplace, advertising, synchronization, operational, and compliance risks remain solely with the user.

11. Bulk Operations & Batch Processing Risk

The Services may support:

batch processing;
bulk publishing;
mass listing modifications;
bulk synchronization;
bulk exports;
bulk imports;
recurring workflows;
automation orchestration;
AI-assisted batch optimization;
marketplace synchronization;
delegated publishing;
enterprise-scale workflows;
and large-scale automated operational activity.

You acknowledge and agree that bulk operations and batch-processing systems may amplify:

inaccuracies;
hallucinations;
synchronization failures;
workflow errors;
marketplace-compliance issues;
advertising-compliance issues;
intellectual-property risks;
listing defects;
metadata corruption;
formatting issues;
operational disruptions;
API failures;
provider inconsistencies;
data corruption;
unintended listing changes;
duplicate actions;
marketplace enforcement risks;
and reputational or financial harm.

You are solely responsible for:

reviewing batch previews;

testing small samples before large-scale deployment;
monitoring first-run operations;

governance systems;
optimization systems;

provided through the Services are offered solely as operational assistance tools and do not create:

warranties;
guarantees;
certifications;
monitoring obligations;

You acknowledge and agree that:

does not create any guarantee, representation, certification, or duty that the Services will:

Users remain solely responsible for:

To the maximum extent permitted by applicable law, OppAction disclaims all liability arising from allegations that it failed to:

prevent misuse;
detect prohibited conduct;
supervise users;
supervise automations;
supervise AI agents;
review listings;
enforce marketplace rules;
detect infringement;
detect deceptive content;
or prevent unlawful operational activity.

13. Operational Records, Audit Logs & Evidentiary Rights

OppAction may generate, collect, preserve, retain, analyze, process, monitor, and rely upon operational, evidentiary, governance, analytical, and security-related records and metadata arising from or relating to use of the Services.

Such records may include, without limitation:

clickwrap records;
assent records;
timestamps;
audit logs;
workflow logs;
synchronization logs;
automation logs;
orchestration records;
API logs;
authentication records;
access logs;
browser metadata;
device metadata;
IP logs;
clickstream data;
export records;
import records;
AI interaction records;
operational telemetry;
enterprise activity logs;
delegated-user activity logs;
publishing records;
synchronization records;
integration records;
workflow configurations;
scheduling records;

provider interaction records;
and related operational or evidentiary information.

OppAction may use, preserve, analyze, disclose, and rely upon such records for purposes including:

operational governance;
abuse prevention;
fraud prevention;
AI governance;
workflow governance;
synchronization governance;
enterprise governance;
security analysis;
risk assessment;
investigations;
compliance review;
dispute resolution;
arbitration;
litigation;
evidentiary preservation;
operational analytics;
debugging;

provider coordination;

You acknowledge and agree that operational and evidentiary records maintained by OppAction may be used as admissible evidence, to the maximum extent permitted by applicable law, to demonstrate:

automation instructions;
publishing activity;
operational activity;
API usage;
delegated-user activity;
enterprise activity;

account access;
authentication events;
configuration settings;
synchronization behavior;
platform interactions;
and related operational or evidentiary facts.

You further acknowledge and agree that OppAction may preserve such records for operational, governance, security, legal, evidentiary, compliance, and enforcement purposes for periods determined by OppAction in its sole discretion, subject to applicable law.

Nothing in the Services, Terms, or operational functionality shall be interpreted to limit OppAction’s ability to preserve, analyze, disclose, or rely upon operational or evidentiary records where reasonably necessary to:

protect the Services;
investigate misuse;
preserve evidence;
comply with legal obligations;
enforce contractual rights;
protect operational infrastructure;
or cooperate with regulators, marketplaces, providers, law enforcement, courts, or arbitrators.

14. Output Similarity, Non-Exclusivity & Public Content

You acknowledge and agree that AI Outputs, generated content, recommendations, optimization suggestions, workflow results, generated listings, generated metadata, predictive outputs, and related functionality provided through the Services may:

resemble third-party content;
resemble publicly available content;
resemble marketplace listings;
resemble advertising copy;
resemble competitor listings;
resemble content generated for other users;
contain common phrases or structures;
contain overlapping language patterns;
contain recurring ecommerce terminology;
or otherwise lack uniqueness, originality, or exclusivity.

AI systems are probabilistic, statistical, heuristic-based, and non-deterministic systems that may generate similar or overlapping outputs for multiple users, workflows, prompts, industries, marketplaces, products, or commercial contexts.

Outputs generated through the Services may be influenced by:

publicly available information;
marketplace terminology;
common ecommerce phrasing;
statistical modeling;
prompts;
heuristics;
optimization methodologies;
training methodologies;
provider systems;
AI-provider infrastructure;
operational patterns;
and third-party systems or technologies.

OppAction does not guarantee:

exclusivity;

non-infringement;

You are solely responsible for conducting any desired or required:

trademark disputes;
copyright disputes;
slogan disputes;
brand-name disputes;
